Pixielanes - Pix.city General Terms and Conditions of Sale.

1. Purpose

1.1
Pixielanes, whose registered office is located at 73 rue du Château - 92100 Boulogne-Billancourt, provides digital communication and online visibility management services. These services include, in particular, content management, digital advertising, community management and photo shoots.

1.2
These General Terms and Conditions of Sale (the "GTCS") define the terms and conditions of use of the services offered by Pixielanes, as well as the rights and obligations of the parties in this context, which is intended exclusively for professional Clients.

1.3
They can be accessed and printed at any time from the Client Area. They may be supplemented by special terms and conditions (the Quotation) specifying the commitment period, the list of subscribed services and their financial terms. In the event of any contradiction between these documents, the special terms and conditions shall prevail over these GTCS and shall together form the contract.

1.4
The Client acknowledges having read the GTCS before entering into a contract with Pixielanes and expressly declares that it accepts them without reservation.

1.5
The GTCS may change in accordance with legal developments and Pixielanes' business practices. Any amendment shall be notified to the Client.

2. Definitions

2.1 Subscription: The offer subscribed to by the Client enabling the Client to delegate its digital visibility to Pix.city on a contractual basis.
2.2 Digital audit / Digital analysis: A preliminary stage before any collaboration, including an assessment of the Client's needs and a roadmap detailing the digital actions to be carried out. This audit strictly defines the collaboration with the Client.
2.3 Client: Any company or professional using Pix.city's services for commercial or communication purposes.
2.4 Client Account: A personalized digital space where the Client's information, contractual documents and mission follow-up are centralized.
2.5 Mission: Services performed by Pix.city in accordance with the quotation signed and approved by the Client.
2.6 Service: All services provided by Pix.city under the contract entered into with the Client.
2.7 Content Revision: Means one objective round of feedback (incorrect information and spelling mistakes, and not a change to the brief compared with the initial brief) submitted all at once regarding one delivery cycle of content.

3. Digital Audit

3.1
The digital audit, if added to the contract at the time of signing, constitutes a document prepared before any collaboration. It is prepared by the Pix.city team in order to define the strategic areas and themes that will structure the Client's digital publications. This audit may also include simulations of advertising campaigns if this product is applicable to the signed contract. It is not mandatory, but if it is included in the mission, it strictly defines the collaboration with the Client.

3.2
The themes defined in the digital audit shall be applied from month 1 and shall gradually evolve according to the Client's feedback and needs.

3.3
From month 2, the themes may be modified in consultation with the Client. Any modification must be agreed in writing between Pix.city and the Client in order to ensure the proper implementation of the new content.

3.4
The digital audit also includes specific recommendations on publication formats, tone of voice, preferred visual materials and platforms suited to the Client's communication objectives.

3.5
In the absence of express validation by the Client during the launch workshop, Pix.city reserves the right to implement the audit as initially proposed.

3.6
Any request to modify the initial digital audit after validation may result in additional billing in accordance with the terms defined in the quotation or by contractual amendment.

4. Quotation and Contract

4.1
Before any collaboration, a detailed quotation is sent to the Client by email, specifying the nature of the proposed services, their duration, the payment terms and the mutual commitments of the parties.

4.2
Acceptance of the quotation by the Client automatically results in the opening of a Client Account, giving the Client access to a secure Personal Area (the "Client Area"). This area enables the Client to retrieve the signed quotation, these GTCS, the details of its mission and the history of its invoices.

4.3
The contract between the Client and Pix.city is formalized by the express acceptance of the quotation and these GTCS, as well as by the first payment. Such acceptance is full and complete, with no possible reservation.

4.4
The Client undertakes to comply with the annual commitment period defined in the quotation, or any other duration agreed between Pix.city and the Client. This commitment includes an annual amount of services as well as a volume of deliverables to be provided by Pix.city to the Client.

4.5
Billing for the services applies as soon as content production begins by Pix.city. The content is then delivered to the Client according to the delivery deadlines indicated during the workshop. Billing is independent of the actual integration of the content on the platforms. Pix.city may not be held liable for any delays or technical issues related to the integration of content on third-party tools such as Meta (Facebook, Instagram) or Google.

4.6
The contract is tacitly renewable, unless terminated by registered letter with acknowledgement of receipt sent to the registered office or by email to clients@pix.city, sent at least 60 days before the end of the contract or at least 30 days before the last payment provided for in the contract.

5. Launch of the Mission

5.1
The launch of any mission includes a one-hour workshop with the Pix.city teams after receipt of the Client's first payment. The purpose of this workshop is to discuss the Client's business and establish the foundations of the collaboration.

5.2
If necessary, the Client may benefit from two additional 30-minute workshops during the first month in order to refine its needs and adjust the strategy implemented.

5.3
At the end of this launch workshop, the Client has three business days to provide the essential elements required to implement the services:
Logo and graphic charter;
Photo shoot dates or provision of existing photos/videos;
Target customers and relevant geographic areas;
Access to social networks and advertising tools;
Any other document requested by Pix.city at the end of the workshop.

5.4
If these elements are not provided within the allotted time, the dates of the first publications shall be adjusted accordingly, without the Client being entitled to claim any compensation. Pix.city also reserves the right not to produce content if the elements requested from the Client have not been provided correctly (for example: if Pix.city is to produce reels using videos supplied by the Client, the videos must comply with precise specifications).

The Client undertakes to provide, within the agreed deadlines, all elements necessary for the performance of the service (content, visuals, information, specific formats, etc.). In the event of absence or incorrect transmission of these elements (unsuitable format, lack of precision, delay), the following impacts may apply: (1) postponement of the project or delivery, (2) replacement of the elements provided with suitable alternatives by Pix.city, (3) full billing of the service, even if no effective production takes place due to such failures. The Client remains solely responsible for the consequences related to these delays or transmission errors.

5.5
The digital audit defines the themes that will be applied from the first month to the publications. Pix.city's teams may not begin work on content without receipt of the Client's logo and graphic charter within the month following the launch of the mission.

5.6 Publication Management
The Client validates the publication themes and may adjust them in consultation with the editorial team during the workshop.
Once the workshop has taken place, the Client may not request changes to the themes for month 1.
Each service is billed at the unit price excluding VAT, and each contract provides for an annual volume of publications.

5.7 Publication Plan
A monthly plan is sent to the Client for validation.
The Client has three business days to validate or request one revision per piece of content per delivery.

5.8 Revisions
One editorial or graphic revision is permitted per publication per delivery, meaning one text change and one visual change per publication or visual presented. Any request for revision must be justified and submitted all at once within three business days after delivery. Changes of themes are prohibited once the delivery has been made. If accepted by Pix.city, the change may be reviewed or taken into account for the following cycle.
Any request for revision shall be processed within three business days, unless an express exception is accepted in writing by Pix.city.
If Pix.city needs more time, it shall submit the new deadline to the Client for acceptance.

5.9 Deliveries and Validation Deadlines
Content deliveries take place before 6 p.m. on business days.
The Client undertakes to comply with a content validation deadline of three business days from receipt of the content in the delivery file.

5.10 Liability in the Event of Delay
The tools made available by Pix.city (Client Area, delivery tracking system, project management platform) constitute the only official references for delivery, delivery follow-up and performance of the services. The Client has access to them throughout the partnership and is informed of their use from the beginning of the collaboration. Consequently, only information from these tools shall be binding, to the exclusion of any informal exchange by email, SMS or any other communication method not contractually provided for.

As soon as Pix.city's teams begin working on a project, Clients will have access to the tracking of important dates via an online document enabling them to know the progress status of their project.
Delivery progress dates (copywriting, design, delivery) are indicative and are not contractual.
Publication dates are at Pix.city's discretion because they are linked to the optimization of the times when the Client's audience is most receptive. Therefore, unless instructed otherwise, Pix.city chooses the dates and times. If the Client has a specific time that conflicts with publication days, the Client must indicate this when validating the cycle. In the absence of feedback, Pix.city chooses the publication scheduling days and times according to audience optimization. This means that the Client only becomes aware of the final publication dates after complete validation of the Client's cycle, that is, when all publications have been validated.

The Client may not remove published publications. If the Client deletes published content itself and such deletion is tracked via Pix.city's tools, a penalty of €50 per removed piece of content shall apply.

5.11 Publication Conditions
Pix.city publishes content only if it has administrator rights on the Client's social media accounts.
If these accesses are not provided, the Client must publish the content itself, without Pix.city's price being reduced.
From month 2, Pix.city may publish content without the Client's prior validation if the Client expressly mentions this or if the Client provides no feedback three days after delivery of the monthly content.
Once published, content can no longer be modified.
The Client may delete content after publication, but no revision or repost will be handled by Pix.city.

5.12 Account Blocking and No Access to Social Networks
If an account is blocked for reasons beyond Pix.city's control, no content may be published. In this case, the service shall be considered due once the publications have been delivered to the Client. This provision also applies in the event of a request for account verification, loss of access by the Client to professional social networks, or if the Client is not the owner of its accounts and cannot grant the administrator rights necessary for publication of the content.
No refund or financial adjustment may be granted if the blocking is caused by the Client or a third party.

5.13 Google My Business (GMB) Management
Pix.city may update the Client's Google My Business (GMB) account during the first month (texts, description), provided that it is appointed as administrator of the account. If the Client does not grant the necessary administrator rights, despite the tutorials provided or the instructions communicated by email or videoconference, Pix.city will not be able to publish on this network and may not be held liable for this impossibility.
Pix.city does not handle the management of replies to customer reviews, opening hours or detailed changes to the GMB listing.
The service includes only the publication of monthly posts and the integration of photos (if a shoot was carried out by Pix.city).

5.14 Definition of Access to Social Networks

5.14.1 Management of Access to Social Networks and Pix.city's Liability
Pix.city provides, on its website through an FAQ, detailed tutorials describing the steps required to create and grant access to professional social networks. These guides constitute a basis enabling the Client to complete the requested steps before the launch workshop.

5.14.2 Access Conditions by Platform

Instagram (IG): The granting of administrator access requires the provision of the email address and password for the professional Instagram account, as well as its link with the Facebook Business Manager account. In the event of lack of access, blocking or loss of login details by the Client, Pix.city may not be held liable for non-integration.

Facebook (FB): The Client must accept Pix.city as administrator of its Business Manager. In the absence of access, in the event of blocking or loss of login details, Pix.city may not be held liable for non-integration.

Google My Business (GMB): The Client must appoint Pix.city (contact@pix.city) as administrator of the account. If access is not granted, or in the event of blocking or loss of login details, Pix.city may not be held liable for non-integration.

LinkedIn (LK): The Client must appoint the MaximePix profile as administrator of its professional LinkedIn account. Without access, in the event of blocking or loss of login details, Pix.city may not be held liable for non-integration.
For other social networks, Pix.city shall provide tutorials at the Client's request.

5.14.3 Publication and Distribution of Content
Pix.city shall publish the content provided on the different platforms by adapting to the formats required by each social network (e.g. videos only on TikTok). However, if the Client does not inform Pix.city of its presence on a network or another distribution channel, Pix.city may not be held liable for the non-publication of content on that medium.

5.14.4 Account Optimization
As soon as access is granted, Pix.city may carry out a check and optimization of social media biographies at the beginning of the collaboration or during the annual partnership, only if this service is explicitly mentioned in the contract. In the absence of such mention, no optimization or verification shall be performed.

5.15 Access Management
Pix.city does not create social media accounts for Clients.
Pix.city is not responsible for the non-publication of content on accounts that have not been created or for which access has not been provided by the Client.
Assistance billed at €100 is required if the Client wishes to receive video-call support to create and configure all of its accesses, without any obligation of result on Pix.city's part and within the limit of one hour of support (by video call only).

5.16 Withdrawal of Access and Consequences
If the Client unilaterally withdraws access from Pix.city (social media management or advertising), this shall be considered a unilateral breach of contract.
As a result, 100% of the remaining sums due shall become immediately payable and the file may be sent for debt collection.
The Client shall also owe €500 in additional damages for early breach of contract.

6. Photo and/or Video Shoot, 360° and Immersive Visit

6.1 Definition
A photo shoot, video shoot, 360° video or immersive visit is a service enabling Pix.city's teams to obtain visual content in line with the themes and subjects defined in the digital audit.

The 360° video and immersive visit services require the use of specific equipment, dedicated software and internal technologies specific to Pix.city. These services involve an adapted shooting methodology and may be subject to separate pricing mentioned in the quotation or the contract signed by the Client.

6.2 Planning and Organization
Planning of Shoots
The date of the first shoot is set during the workshop or the launch meeting.
For subsequent shoots, Pix.city sends the Client, for each relevant month, a 15-day schedule so that the Client can pre-approve time slots in advance.
Thirty (30) days before the selected period, the Client is contacted again to confirm the final shoot date.
The duration of the shoot shall be determined in advance, but shall be at least two hours.
360° video or immersive visit services may require a longer shooting duration, determined according to:
the technical constraints of the location;
the area to be captured;
the equipment required;
the production objectives defined in advance.
The Client must be present or, failing this, must inform its teams in order to ensure the smooth running of the shoot.
The detailed brief including the checklist of elements to be photographed and/or filmed shall be sent to the Client at least three days before the shoot.
The Client must validate this brief no later than the day before the shoot so that the photographer can receive it in time and properly prepare the service.
Once validated, the checklist may no longer be modified.
Failing any response from the Client during the day following its sending, the checklist shall be deemed accepted by default.
Pix.city may not be held liable for the Client's dissatisfaction if the Client has not complied with the instructions communicated.

6.3 Specific Technical Conditions for 360° Videos and Immersive Visits
The Client acknowledges that 360° video and immersive visit services require:
specific shots;
particular technical constraints;
the use of dedicated equipment;
specific processing and integration software;
adapted preparation and post-production time.

The Client undertakes to:
guarantee full access to the relevant spaces;
ensure that the premises are ready and usable at the time of filming;
limit sound, lighting or human disturbances that may interfere with immersive capture;
comply with the technical recommendations sent by Pix.city before the service.

Pix.city reserves the right to adapt the shooting arrangements if the technical or safety conditions do not allow the service to be performed optimally.

6.4 Change of Date
Any change to the shoot date must be notified at least 72 business hours in advance.
In the absence of sufficient notice, the service shall be billed in full, except in the event of force majeure justified by an official document (medical certificate, fire report, weather alert, etc.).
Shoots are planned at the beginning of the year and validated by the Client. In the absence of a response from the Client after two reminders sent at least 30 days before the scheduled date, the shoot shall be considered due and billed, even if it did not take place, in order to cover the costs of mobilizing and reserving the teams.

6.5 Client Obligations
Validation of the Brief
In the event of disagreement with the brief, the Client must inform Pix.city before the beginning of the shoot in order to make any necessary changes.
Conduct of the Shoot
During the session, the Client undertakes to comply with the instructions defined in the brief, the checklist and the instructions of the photographer or videographer.
Signature of the Checklist
At the end of the shoot, the Client must sign the checklist validating compliance with the established instructions.
In the event of refusal to sign, Pix.city may not be held liable for any dissatisfaction if the instructions communicated were not complied with and if the checklist was not duly validated.

6.6 Technical Conditions Accepted by the Client
The Client accepts by default the following technical conditions:
no video will be produced without a lavalier microphone when sound recording requires it;
the rules regarding sound and lighting must be complied with;
postures and the presentation/clothing elements indicated in the brief must be followed;
for 360° videos and immersive visits, certain spaces may require specific preparation in order to guarantee optimal quality of the final rendering.

6.7 Contract and Right to Use Photos
A contract is signed between Pix.city and the photographer for the use of the photos taken during the shoot.
Pix.city guarantees the Client the use of the images in accordance with the conditions defined in that contract.

6.8 Specific Pricing
360° video and immersive visit services are subject to specific pricing due to:
the technical equipment used;
the internal software and technologies mobilized;
the capture time;
the processing and integration time;
the associated technical constraints.
The applicable prices are specified in the quotation or the contract validated by the Client.

6.9 Contract and Right to Use Photos and Videos
A contract is signed between Pix.city and the photographer or videographer concerning the use of the content produced during the shoot.
Pix.city guarantees the Client the use of the images in accordance with the conditions defined in that contract.

6.10 Delivery and Retouching of Content
Following the shoot, Pix.city shall use photos and videos to create social media content. If the Client wishes, all unedited photos and videos shall be available for download on the dedicated Box.com space within five (5) business days.
The Client has no right to review the photo or video retouching performed by Pix.city except in the event of a clear technical non-compliance.

6.11 Shoot Cancellation Conditions
Cancellation by the Client

Less than 48 hours before the shoot:
Cancellation between 48 hours and 12 hours before the shoot: €190 excluding VAT in fees;
Cancellation less than 12 hours before the shoot: €260 excluding VAT in fees.

The Client must reschedule a new shoot according to the conditions communicated by Pix.city.

More than 48 hours before the shoot:
The Client may reschedule a shoot within the limit of one rescheduling per period defined in the quotation.

Cancellation by Pix.city
In the event of cancellation by Pix.city, a new shoot shall be proposed as soon as possible.

6.12 Intellectual Property Clause
Pix.city Side
Pix.city remains the owner of its logos, templates, layouts, graphic content and texts, and grants the Client a right of use strictly necessary for their distribution.
The Client is not authorized to reuse Pix.city's templates or creative elements after the end of the collaboration.

Photos and Videos Side
The photographer or videographer assigns to Pix.city, which accepts, the exclusive exploitation rights to the content produced as part of the mission entrusted via the Pix.city platform.

The assignment includes:
the right of reproduction: the possibility of reproducing the content on websites and social networks;
the right of representation: the right to distribute the content to the public by any means;
the right of modification: the right to adapt, crop or retouch the content according to needs;
the extended commercial exploitation right: Pix.city is authorized to integrate the content into an image library and make it available to other clients for their communication and promotional needs.

Scope
Territory: The assignment is valid for exploitation in Europe.
Duration: The assignment is granted for a period of three (3) years from the signing of the contract.
Exclusivity: The assignment of rights is exclusive. The photographer or videographer may not reuse, resell or assign this content to third parties outside Pix.city.

Specific Conditions
The photographer or videographer acknowledges that the content may be used by other Pix.city clients, without limitation on the number of uses and without prior notification.

6.13 UGC Videos (User Generated Content)

6.13.1 Definition
The UGC (User Generated Content) video service consists of creating embodied, authentic and immersive video content produced by content creators selected by Pix.city, for the purpose of promoting the Client's products, services or image on social networks, websites or digital advertising campaigns.

UGC videos may include, in particular:
product demonstrations;
testimonials;
staged situations;
face-to-camera videos;
storytelling formats;
trending content adapted to social platforms.

6.13.2 Planning and Organization
Following signature of the contract, a launch meeting is organized between Pix.city and the Client in order to define the needs, objectives and terms of the service.
Following this discussion, a launch report is sent to the Client and serves as the operational brief.
Once the document has been validated (within a maximum period of 48 business hours from sending), Pix.city initiates the different production stages: profile recruitment phase, script validation and organization of the shoot.
Unless otherwise agreed between the parties, Pix.city may present UGC creator profiles within a maximum of 10 business days after validation of the report by the Client.
The Client undertakes to validate a profile within two business days after the elements have been sent.
Unless otherwise agreed between the parties, Pix.city may send the shooting script at least three business days after selection of the profile by the Client.
Unless otherwise agreed between the parties, the shoot must take place less than three business days after validation of the script.
The shoot date depends on the Client's schedule but also on the schedule of the UGC creators. The Client must therefore specify from the outset if the date is not flexible.
The Client undertakes to comply with the validation deadlines proposed by Pix.city and to send, within the allotted deadlines, all elements necessary for the proper performance of the service (products, information, access, graphic elements, validations, etc.). Any delay may result in an adjustment of the schedule without Pix.city's liability being incurred.
In the event of a request for specific or modified deadlines, the parties are invited to refer to the provisions of Article 6.13.4.

6.13.3 Technical Conditions
The Client accepts by default the following technical conditions:
the style of UGC videos is based on a natural and authentic rendering deliberately distinct from traditional advertising productions;
artistic choices, framing, editing, tone and performance are left to the discretion of Pix.city and the selected creator;
content is adapted to the codes of the relevant social platforms (TikTok, Instagram, Facebook, YouTube Shorts, etc.);
unless otherwise stated in the quotation, videos are delivered in vertical 9:16 format.

6.13.4 Delivery, Modifications and Emergency Deadlines
UGC content is delivered by Pix.city within a maximum period of 3 to 10 business days after the shoot and receipt of all elements necessary for production.
Videos are sent via a dedicated download area or by email depending on the Client's request.
The Client benefits from a single round of modifications relating exclusively to minor adjustments, excluding any modification of the initial brief, creative concept, main message, format or shooting conditions (examples of feedback: text correction, minor subtitle change, cut or rhythm adjustment).
Any request involving a modification of the initial brief, script, creative directions, main message, format or shooting elements shall be subject to additional billing.
Any additional modification request beyond the included round shall be billed at €150 excluding VAT per series of modifications.
Deliveries are made during the day; a day means a business day.

Emergency Deadline
Any urgent delivery request of less than 24 business hours may be subject to a price supplement.
The supplement applicable for urgent delivery is set at:
+30% of the amount excluding VAT of the service for delivery within 24 business hours;
+50% of the amount excluding VAT of the service for same-day delivery, subject to technical and operational feasibility.
Pix.city reserves the right to refuse an urgent request depending on the availability of the teams and creators.

6.13.5 Client Obligations
The Client guarantees that it:
holds the necessary rights to the brands, products, music, logos or elements sent to Pix.city;
ensures that the information communicated is accurate and compliant with applicable regulations;
ensures that the products sent for filming may be freely used as part of the service.

The Client remains solely responsible for the commercial claims appearing in the validated content.

6.13.6 Cancellation
Any cancellation of a UGC service less than five business days before the shoot or the start of production shall result in billing of 50% of the total amount excluding VAT of the service.
Any cancellation after production has begun shall be billed in full.
In the event that products are sent to the creator, Pix.city may not be held liable for their deterioration, loss or non-return, except in the event of proven fault.

6.13.7 Intellectual Property and Exploitation Rights
The content creators appointed by Pix.city assign to Pix.city the exploitation rights to the content produced as part of the service.
Unless otherwise stated in the quotation, the Client benefits from a right to use the content on its organic digital media (social networks, website, newsletters).
Any sponsored advertising use (ads, dark posts, whitelisting, television, billboards or media campaign) must be subject to an additional written agreement.
Rights are granted by default for a period of three months and for exploitation in the European territory, unless otherwise provided in the quotation.

6.14 Local Influence

6.14.1 Definition
The local influence service consists of putting the Client in contact with content creators, influencers or local ambassadors selected by Pix.city in order to promote the Client's business, products or services to a targeted and geographically relevant audience.

This service may include:
publications on social networks;
stories;
short videos;
invitations to an establishment;
influencer events;
local ambassador campaigns;
digital visibility operations.

6.14.2 Selection of Influencers
Pix.city selects profiles according to the objectives defined with the Client.
The audience statistics and performance of creators/influencers are communicated for information purposes only.
Pix.city does not guarantee any minimum volume of sales, bookings, traffic or commercial results following the campaign.
The Client may refuse a proposed profile within the limit of two refusals per campaign. Beyond this, Pix.city may reassess the pricing terms and deadlines.
The Client undertakes to validate one creator from among the proposed profiles. In the event of successive refusals preventing validation of the casting, Pix.city may propose a revision of the service or terminate the project.
If the service is stopped at the Client's initiative after creators have been presented or the casting phase has begun, the selection, qualification and coordination work shall be billed on the basis of €150 excluding VAT per creator presented, as well as management hours incurred at the rate of €90 excluding VAT per hour, any hour started being due.

6.14.3 Campaign Organization
A launch meeting is organized with the Client before the operation is launched.
The Client must send all information necessary for the smooth running of the campaign.
Publication dates are defined according to the availability of the influencers and operational constraints.
The Client undertakes to welcome the creators under normal conditions allowing the content to be produced.
Any inappropriate behavior toward a creator may result in the immediate termination of the service without refund.

6.14.4 Content Validation
Unless otherwise stated in the quotation, content created by influencers is not subject to the Client's prior validation in order to preserve the editorial authenticity specific to influencer marketing, with the exception of the final video.
The Client acknowledges that each creator retains freedom of tone, editorial style and creativity.
Pix.city nevertheless ensures compliance with the main directions of the validated brief.

6.14.5 Regulatory Obligations
Sponsored content must comply with the French and European regulations applicable to advertising, commercial influence and partnership transparency.
Mandatory notices such as "commercial collaboration", "sponsored" or equivalent may be integrated by the creators in accordance with the regulations in force.

6.14.6 Cancellation and Postponement
Any cancellation of a campaign less than seven business days before its launch shall result in billing of the costs already incurred by Pix.city and the creators.
If bookings, travel, purchases or privatizations have been made, these shall remain payable by the Client.
In the event of cancellation after validation of the creators or after publication of the content, the service shall be due in full.

6.14.7 Intellectual Property and Rights of Use
Content published by creators remains the intellectual property of its authors.
Unless specifically agreed in writing, the Client may not reuse the content in sponsored campaigns or external advertising media.
Any request to purchase rights, for whitelisting or for media distribution must be subject to an additional agreement.
Pix.city may use the content produced as part of the campaign for commercial promotion purposes and to present its know-how, unless the Client objects in writing.

6.14.8 Liability
Pix.city acts as an intermediary between the Client and the content creators. Pix.city may not be held liable for:
opinions personally expressed by the creators;
variations in publication performance;
changes to the algorithms of social platforms;
deletion of content decided by the platforms or the creators themselves.

7. Advertising Campaigns

7.1 Definition and Planning
Advertising campaigns are subject to a prior audit or prior live analysis before any collaboration. This audit makes it possible to carry out simulations based on the media budget allocated by the Client in order to optimize the return on investment of the campaigns.

7.2 Launch Workshop
During the launch workshop, the Client must detail the following elements:
its personas (typical profiles of its target customer base);
the services or products it wishes to highlight;
the targeted geographic areas;
its media budget;
and any other information arising from the workshop that should be brought to Pix.city's attention.

7.3 Validation of Advertising Content
Advertising content intended for Google Ads and Meta (Facebook/Instagram) platforms requires the Client's validation before it goes online.
Without validation of the design, editorial texts or keyword list, no campaign will be launched.

7.4 Formats and Types of Campaigns
Meta campaigns (Facebook/Instagram Ads), TikTok, Google Performance Max, etc. consist of advertising visuals created by Pix.city and/or the Client.
Google Ads Search campaigns include two ad groups, each composed of a list of keywords and associated descriptions.

7.5 Commitment, Duration and Renewal of Advertising Campaigns
Commitment period: Advertising campaigns are subscribed to for a minimum period of 12 months, unless a specific agreement between the two parties defines a different duration.
Contracts are tacitly renewed for the same duration as the initial contract.

Types of campaigns:
Ongoing campaigns: continuous distribution without interruption.
Fixed-term campaigns: one-off distribution, generally 10 days per month, for specific events with an end date (e.g. contests, event sponsorship).

Early termination: If the Client wishes to stop its campaign before the end of its contractual commitment, it must comply with the early termination conditions specified in the contract (Article 8.3).

Non-renewal of the contract:
If the Client does not wish to renew its contract, it must inform Pix.city at least one month before the date of the last payment provided for in the contractual commitment.
Any request for non-renewal sent less than one month before the last payment results in the automatic renewal of the contract for one additional year or for the duration initially signed.

7.6 Payment and Management of the Advertising Budget
Before any launch, the Client must register its bank card on its advertising account in order to finance the campaigns.
The Client may also entrust Pix.city with the management of its advertising budget.
If Pix.city handles the management of advertising expenditure, the Client must first make a bank transfer corresponding to the defined budget. Pix.city will send written confirmation before any spending.

7.7 Management of Advertising Accounts and Responsibilities
Creation of advertising accounts: Pix.city does not create advertising accounts for its Clients. Management and initial configuration of the advertising account are the responsibility of the Client.
Blocking of advertising accounts: Pix.city does not have the ability to unblock an advertising account suspended by advertising platforms (Google, Meta, etc.). Any suspension or restriction imposed by these platforms falls solely under their regulations and the Client's responsibility.
Access to advertising accounts: If the Client has not created its advertising account or has not provided the necessary access to Pix.city, Pix.city may not be held liable for the impossibility of launching the campaigns.
Hosting of advertising campaigns: The Client may ask Pix.city to host its advertising campaigns. This option is conditional upon:
payment of the media budget directly to Pix.city;
written validation by the Client of the amounts to be spent.

Support and compliance with procedures:
Pix.city provides detailed tutorials, sent by email, to help the Client configure its advertising accounts.
The Client undertakes to follow the recommended steps and provide the necessary access for each campaign, in accordance with the instructions communicated during the kick-off phase with Pix.city.

8. Billing and Payments

8.1 Billing
Billing for the services follows a progressive logic aligned with the setup and content production stages. The different phases are therefore organized as follows:

Acceptance of the quotation and first payment: The collaboration begins upon signature of the quotation and first payment.
Planning of the launch workshop: Once the quotation has been accepted and the initial payment made, a launch workshop is organized with the Client to define expectations and validate strategic directions.
Start of production: Content production begins after the launch workshop. In accordance with Article 5, billing applies from the moment production begins.
Recurring billing: Payments are then made according to the agreed billing schedule (monthly, quarterly or otherwise) until the end of the contractual commitment.

In summary, the chronology of the steps is as follows: signature of the quotation / first payment → launch workshop → start of production → monthly billing from the 2nd month to the last month of the commitment.

Pix.city's services are then billed monthly, on the anniversary date of the first payment, unless otherwise agreed between the parties, or quarterly advance payment may be requested.
All payment must be made in advance to allow production of the services.
Monthly billing is based on an annual contract divided into 12 payments. If the contract is subscribed to for six months, an initial payment of three months will be requested upon signature of the contract.
The Client may not dispute an uneven volume of deliveries each month, because the volume is assessed over the full year.
Payments are not linked to monthly volume. The payment schedule is independent of the monthly publication / delivery / ongoing or fixed-term campaign schedule, and the final volume is assessed over the full year of the contract.
Pix.city reserves the right to adjust content formats according to the elements provided by the Client.
Commitment over time: Any Subscription period started is due in full.

8.2 Late Payment, Non-Payment and Payment Issues
The Client undertakes to pay the agreed monthly installments by automatic debit (bank card or SEPA mandate) according to the schedule defined in the contract.
In the event of payment failure (rejection, opposition, expired card, insufficient funds), an automatic reminder is sent within 48 hours.
If payment is not regularized within five days, the services shall be suspended without this postponing or extending the duration of the contract.
If no payment has been made within 15 days, the agency reserves the right to terminate the contract by operation of law. In such case, all remaining monthly installments shall become immediately payable, increased by a fixed indemnity of €40 for collection costs, in accordance with the legislation in force.
No production shall resume until full regularization has been made.

8.3 Early Termination
8.3.1 Firm Commitment
If the Client wishes to terminate its contract before the end of or during the contractual commitment, it must pay within five business days a percentage of the remaining amount due, depending on the duration of the contract:
100% of the remaining amount due for the first commitment period;
60% of the remaining amount due from the second commitment period onward.

If two unpaid invoices are recorded, Pix.city reserves the right to suspend production and send the file for debt collection.
In this case, the Client shall be required to pay 100% of the remaining amounts for the first commitment period and 60% for the second and subsequent commitment periods, in addition to the amounts already unpaid.
If deadlines are exceeded, unpaid amounts may be sent for collection.
The Client remains required to pay all monthly installments until the end of the contractual commitment, including in the event of a change in personal, commercial or legal situation.

8.3.2 Exceptional Cases of Accepted Early Termination
Strictly by way of exception, and upon presentation of official supporting documents, certain situations may result in early termination without penalties:
definitive cessation of activity with removal from the trade register (INSEE or RCS);
filing for bankruptcy or court-ordered liquidation;
definitive sale of the business, with a signed transfer certificate;
proven force majeure within the meaning of Article 1218 of the Civil Code.

In these cases, termination may be accepted on the date of receipt of the complete supporting document validated by Pix.city's legal department. Any period started remains due.

8.3.3 Cases Not Recognized
decrease in business activity or change in marketing strategy;
change of owner or management not accompanied by an official transfer;
cash-flow problems or payment delays;
temporary inactivity.

8.3.4 Commercial Flexibility
Even outside the cases listed above, Pix.city reserves the right, on a purely commercial basis and without obligation, to grant early termination without pursuing the remaining balance. This decision remains at Pix.city's sole discretion and does not constitute an acquired right for other situations.

8.4 Modification of the Service Amount
If the Client wishes to modify the amount of its monthly service with a maximum reduction of 30%, it must sign a new contract subject to Pix.city's agreement.
Any change of contract in the service also entails the start of a new contract for a duration equivalent to the initial contract.

8.5 Tacit Renewal and Non-Renewal
Contracts are tacitly renewed for the same duration as the initial contract.
If the Client wishes to stop its campaign during its contractual commitment, it must comply with the early termination rules in Article 8.3.
The non-renewal request may be sent to Pix.city's teams at any time during the contractual commitment period signed between the two parties.
If the non-renewal request is made less than one month before the last payment of the contractual commitment, the contract will already have been automatically renewed for an additional year or for the initially signed period.
In this case, the Client must either continue until the end of the new commitment or comply with the early termination rules presented in Article 8.3.

8.6 Pix.city's Obligations at the End of the Contract
Pix.city undertakes to deliver the number of pieces of content provided for in the contract, except in the event of a clause making production impossible.
Pix.city may not be held liable for a volume of deliveries lower than that contractually provided if the Client has not supplied the necessary elements (e.g. photos, videos).
If additional features are subscribed to, they shall be subject to a written agreement and billed separately.

8.7 Payment Method and Security
The price of the Services is paid by bank card payment or SEPA direct debit.
The debit is managed by a secure payment provider, which is solely responsible for storing the Client's bank details.
Pix.city does not store any banking data and guarantees the confidentiality of transactions.

9. Communication

9.1 Assignment of a Support Manager / Support
Upon signature of the contract, a Customer Success Manager (CSM) is assigned to the Client.
The CSM is the Client's main point of contact for any question related to the performance of the contract and follow-up of the services.

9.2 Communication Methods and Hours
The Client may contact its CSM by telephone and SMS, and may also book appointments directly with the CSM for more in-depth discussions.
The CSM's availability hours are from 9 a.m. to 6 p.m., Monday to Friday.
Messages sent outside these hours, including on Saturdays and Sundays, shall be processed the following Monday.

9.3 Support and Assistance Outside Office Hours
The Client may contact the Pix.city team at any time for any question or request for information.
In case of emergency outside office hours, a dedicated email address is made available: support-csm@pix.city.
Pix.city shall use its best efforts to respond during the day to requests received through this channel.

9.4 Processing of Requests and Pix.city's Commitment
The resolution of questions asked is assessed according to the response provided by Pix.city.
Pix.city undertakes to provide personalized follow-up and to respond to requests as soon as reasonably possible.

10. Subscription Term

10.1 Term and Renewal
The Services subscribed to by the Client are provided in the form of a Subscription.
The effective date and duration of the Subscription are indicated in the Quotation signed by the Client.
The Subscription is entered into for an Initial Period and renews tacitly for an equivalent duration, unless terminated under the conditions provided for in these GTCS.

10.2 Termination Conditions
Contracts are tacitly renewed for the same duration as the initial contract.
If the Client wishes to stop its campaign during its contractual commitment, it must comply with the early termination rules in Article 8.3.
If the Client does not wish to renew its contract, the request must reach Pix.city's teams at least one month before the date of the last payment of the contractual commitment signed between the two parties.
If the non-renewal request is made less than one month before the last payment of the contractual commitment, the contract will already have been automatically renewed for an additional year or for the initially signed period.
In this case, the Client must either continue until the end of the new commitment or comply with the early termination rules presented in Article 8.3.
Any termination request must be made by email (clients@pix.city) or by post to Pixielanes' postal address, and shall take effect at the end of the current commitment period.

10.3 Modification of the Subscription
If the Client wishes to modify its offer during the Subscription, the new duration and commitment conditions shall be specified in a new quotation accepted by the Client and Pix.city.
The modification of the subscription may include an increase or reduction in services.
Any major modification shall require a contractual commitment equivalent to the initial duration of the contract.

11. Evidence Agreement

11.1 Acknowledgement and Acceptance of Electronic Data
The Client expressly acknowledges and accepts that the data collected through the delivery files and the Client Area constitute proof of the operations carried out under these GTCS.
These data are accepted as the principal means of evidence between the parties, in particular for calculating the sums owed to Pix.city.

11.2 Reliability and Retention of Data
Electronic records made on Pix.city's computer equipment shall be binding in the event of a dispute.
Pix.city guarantees the secure retention of files and information relating to the services provided to the Client.
As part of improving the quality of Pix.city's services and for evidentiary purposes in the event of a dispute, exchanges carried out by videoconference, telephone and SMS with Clients may be recorded. By accessing the videoconference, the Client gives explicit consent to such recording.

12. Pix.city's Obligations and Liability

12.1 Best-Efforts Obligation
Pix.city undertakes to perform its obligations diligently and in accordance with professional standards.
The Client expressly acknowledges and accepts that Pix.city is subject to a best-efforts obligation, and not an obligation to achieve a specific result.

12.2 Confidentiality and Data Protection
Pix.city undertakes to use the Client's information, documents and data only for the performance of the Services.
These data shall not be distributed or shared with third parties, except at the Client's request or with the Client's written consent.

12.3 Expertise and Advice
Pix.city provides the Client with competent personnel for the performance of the Services.
It provides the Client with the advice and information necessary for the proper performance of the services.
Pix.city shall inform the Client of any foreseeable difficulty that may impact the performance of the Services.

12.4 Civil Liability Insurance
Pix.city certifies that it holds professional civil liability insurance covering its activities.
This insurance policy shall be maintained in force throughout the duration of the Services.

12.5 Limits of Pix.city's Intervention
Pix.city is limited exclusively to providing the Services defined in the contract.
The Client acknowledges that the Services are provided to it personally, and that Pix.city does not intervene in the Client's relationships with its own customers or any third party.
Pix.city does not provide any service to the Client's customers and maintains no relationship with them.
Consequently, the Client undertakes to hold Pix.city harmless in the event of disputes or litigation with third parties and to manage their resolution alone.

12.6 Warranty Limitations
The services provided by Pix.city are provided as is and without any express or implied warranty.

Pix.city does not guarantee:
that the Services will be free from errors or defects despite the constant improvements made;
that the Services, being standard services, will exactly meet the Client's specific expectations and constraints.

Pix.city does not guarantee any business volume generated for the Client through the Services.

12.7 Limitation of Liability
In any event, Pix.city's liability is strictly limited to direct damages suffered by the Client only.
Any compensation that may be owed by Pix.city may not exceed the annual amount of the current Subscription subscribed to by the Client.

13. Client Obligations and Warranties

13.1 Compliance with the General Terms and Regulations
The Client undertakes to use the Services provided by Pix.city in compliance with these General Terms and with the laws and regulations in force.
The Client shall refrain from any use that may infringe the rights of third parties or public order.

13.2 Provision of Necessary Information and Documents
The Client must send Pix.city all documents, data and information necessary for the proper performance of the Services.
This includes, in particular, the transmission of login credentials and passwords for the platforms and tools essential to the implementation of the services.
The Client acknowledges that any delay in providing the requested elements will proportionally impact the service schedule without Pix.city being held liable.

13.3 Active Cooperation by the Client
The Client undertakes to cooperate actively with Pix.city in order to ensure the smooth running of the Services.
The Client must comply with:
the deadlines specified in the Quotation;
deadlines relating to digital publications;
schedules relating to photo shoots and delivery of visuals.
Any difficulty that may impact the performance of the services must be reported to Pix.city as soon as possible.

13.4 Client Commitment Before Subscription
Before subscribing to the Services, the Client declares that it has received all necessary information, advice and instructions from Pix.city.
The Client acknowledges having had sufficient discussions with Pix.city to ensure that the Services properly correspond to its expectations, needs and constraints.

13.5 Nature of the Services and Client Expectations
The Client acknowledges that Pix.city's Services constitute a complementary and non-exclusive solution for its commercial and marketing development.
The Client understands that these Services do not replace other means it may implement to achieve its objectives.

14. Personal Data and Confidentiality

14.1 Privacy Policy
Pix.city makes available a personal data protection policy on its official website: https://www.pix.city/p/politique-de-protection-des-donnees.
This policy details the collection, processing and use of users' personal data in connection with the services offered by Pix.city.

14.2 Collection and Use of Data
The data collected include: surname, first name, email address, bank details and other information necessary for the proper functioning of the service.

These data are used to:
manage and perform the subscribed services;
send communications about Pix.city's services and offers;
enable user identification and billing of services.

The user may object to receiving commercial communications by exercising the opt-out right through account settings or by contacting Pix.city.

14.3 Tracking and Consent
Tags and trackers are used to confirm the origin of users when booking and paying for missions after acceptance of a quotation.
This tracking complies with Article 32-II of the French Data Protection Act, requiring an information banner and explicit consent.
The user may revoke consent at any time via: https://www.pix.city/p/politique-de-protection-des-donnees.

14.4 Legal Compliance and Data Security
Pix.city guarantees the collection and processing of data in compliance with the legislation in force:
Law No. 78-17 of 6 January 1978 on information technology, files and freedoms;
European Regulation No. 2016/679 (GDPR) of 27 April 2016.

All technical and organizational measures are implemented to ensure the security and confidentiality of data.

14.5 User Rights Over Their Data
The user has the following rights over personal data:
right of access (obtain a copy of the data collected);
right of rectification (correct inaccurate or incomplete data);
right of deletion (request erasure of data under certain conditions);
right of objection (object to the use of data for certain purposes);
right to portability (retrieve data in a structured format);
right to define post-mortem instructions concerning the fate of data in the event of death.

14.6 Use of Cookies
For the proper functioning of the website and services, cookies are placed on the user's device when browsing the Pix.city website.

Cookies make it possible to collect information relating to:
the user's browsing (pages viewed, date and time of visits);
user identification in order to improve the user experience.

The retention period for cookies placed by Pix.city is six months.

14.7 Deactivation and Management of Cookies
The user may object to the use of cookies by configuring the internet browser.
As each browser software has specific settings, the user is invited to consult the browser instructions to manage preferences.

15. Subcontracting

15.1 Use of Subcontracting
Pix.city reserves the right to use subcontractors to perform all or part of the Services defined in the contract.
In the event of subcontracting, Pix.city undertakes to impose on subcontractors the same contractual obligations as those to which it is subject under these General Terms.

15.2 Data Protection in the Event of Subcontracting
If Pix.city's subcontractors are required to process personal data, the provisions of Article 14, Personal Data and Confidentiality, shall apply in full.
Pix.city ensures that its subcontractors comply with the regulations in force regarding data protection and implement appropriate measures to guarantee their security.

16. Force Majeure

Each Party may invoke force majeure as defined in Article 1218 of the Civil Code.
The obligations arising from this contract shall be suspended for the entire duration of such force majeure event.
If the force majeure lasts for more than two months, each Party may terminate the contract by operation of law and without compensation.

17. Partial Invalidity and Non-Waiver

Partial invalidity:
"If any provision of these GTCS is deemed null, invalid or unenforceable, the other provisions shall retain their full force and effect."

Non-waiver (tolerance):
"The fact that one Party does not invoke a breach by the other Party of any of the obligations provided for in these GTCS shall not be interpreted in the future as a waiver of the obligation or right concerned."

18. Governing Law and Competent Jurisdiction

18.1 Application of French Law
These General Terms are governed exclusively by French law.

18.2 Jurisdiction in the Event of Dispute
Any dispute arising from the formation, performance or interpretation of the contract, as well as from any commercial relationship between the parties, shall be submitted exclusively to the competent courts of Nanterre.
This clause remains applicable even in summary proceedings, incidental claims, multiple defendants or third-party claims.
It applies regardless of the payment method used, and any jurisdiction clauses appearing on the Client's documents shall be unenforceable against Pix.city.
